Terms of Service

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Services. By using PayDirect, you represent that you meet these requirements. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You must register for an account to access most features. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your login credentials
• Promptly notify us of any unauthorized account access
• Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

PayDirect provides a cloud-based payment management platform including invoice creation, payment link generation, subscription billing, client management, and payment event tracking. Features may be added, modified, or removed at our discretion. We will endeavor to provide reasonable notice of significant changes.

You agree not to use the Services to:

• Violate any applicable law or regulation
• Process payments for illegal goods or services
• Engage in fraud, money laundering, or other financial crimes
• Transmit malware, viruses, or other harmful code
• Attempt to reverse-engineer, decompile, or circumvent security measures
• Harvest or scrape data from the platform without written consent
• Impersonate any person or entity
• Interfere with or disrupt the integrity or performance of the Services

Violation of these restrictions may result in immediate account suspension and potential legal action.

Access to certain features requires a paid subscription. By subscribing, you authorize us to charge your payment method on a recurring basis at the rates in effect at the time of billing. All fees are non-refundable except as expressly provided in our refund policy or required by law. We reserve the right to change pricing with 30 days' prior notice.

All content, features, and functionality of the Services — including the software, design, text, graphics, and logos — are owned by PayDirect and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for their intended purpose. Nothing in these Terms transfers ownership of any intellectual property to you.

You retain ownership of any data, text, or content you submit to the Services ("User Content"). By submitting User Content, you grant PayDirect a worldwide, royalty-free license to host, store, and process it solely to provide the Services. You represent that you have all rights necessary to grant this license and that your User Content does not violate any third-party rights.

The Services may integrate with third-party services (e.g., payment processors, CRM tools). These integrations are subject to the third party's own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYDIRECT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.

You agree to indemnify, defend, and hold harmless PayDirect and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your User Content, or your violation of these Terms.

Either party may terminate these Terms at any time. You may close your account through account settings. We may suspend or terminate your access immediately if you breach these Terms or if required by law. Upon termination, your right to use the Services ceases, and we may delete your data in accordance with our data retention policy and Privacy Policy.

These Terms are governed by applicable law. Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiations. If unresolved, disputes shall be submitted to binding arbitration or, if not applicable, to the courts of competent jurisdiction.

We may modify these Terms at any time. We will notify you of material changes by email or via in-app notification at least 14 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
